Terms and Conditions of Sale and Use

These Terms and Conditions of Sale and Use (the “Terms”) govern access to the website operated by Nexum Labs (the “Site”) and any order placed through it.

By accessing the Site and/or placing an order, the Buyer acknowledges having read, understood, and accepted these Terms without reservation.

“Nexum Labs,” “we,” “us,” “our”: Nexum Labs LLC, a limited liability company formed in the State of New Mexico, United States.

“Buyer”: any adult individual or legal entity making a purchase through the Site.

“Products”: all items sold on the Site, divided into four categories:

• Research Products: peptides, compounds, and materials intended exclusively for experimental laboratory use, regardless of presentation: lyophilized vial, research nasal spray, or pen format.
• Topical Cosmetic Products: formulations intended for external application to the skin in accordance with their description.
• Supplies: technical laboratory consumables.
• Stacks: assortments combining several items, subject to the rules applicable to the most restrictive category among their components.

“Research Use”: use exclusively for experimental or analytical purposes in a controlled environment.

“Cosmetic Use”: external application intended for skin care or appearance, with no medical or therapeutic purpose.

3.1 Research Products

Products identified as Research Products are sold exclusively to qualified professionals, laboratories, academic institutions, and research entities.

The Buyer confirms that they have the skills required to handle research substances.

Nexum Labs reserves the right to request supporting documents and to refuse any order if in doubt.

3.2 Topical Cosmetic Products

These Products may be purchased by any adult. They are intended for external use only, in accordance with their description and the instructions on their labeling.

3.3 Supplies

Technical consumables may be purchased by any adult. Their availability does not constitute any recommendation for use in connection with Research Products.

4.1 Research Products

Research Products are strictly intended for experimental laboratory purposes.

Nexum Labs provides no instructions regarding administration or dosage. The Products are not intended to diagnose, treat, cure, or prevent any disease.

4.2 Topical Cosmetic Products

These Products are intended for external application only. They are not intended to diagnose, treat, cure, or prevent any disease. Nexum Labs makes no medical or therapeutic claims regarding them. The Buyer is responsible for following the instructions on the labeling.

These statements have not been evaluated by the Food and Drug Administration (FDA).

Every order constitutes an offer to purchase. Nexum Labs reserves the right to accept or refuse it at its sole discretion. An order is considered accepted only after confirmation or shipment.

Prices may be changed at any time without notice; the price applicable to an order is the price displayed when the order is submitted.

Customs duties, import taxes, and local fees are the sole responsibility of the Buyer.

Payment methods currently available are displayed during checkout and may include payment by card, bank transfer, or cryptocurrency.

Nexum Labs reserves the right to refuse any suspicious transaction. In the event of an unjustified payment dispute, Nexum Labs may take appropriate steps to recover the amounts owed.

Products are shipped to destinations currently served by Nexum Labs. The list of available destinations is displayed during checkout and may change.

The risk of loss, damage, delay, or seizure is transferred to the Buyer in accordance with the mandatory rules applicable to the transaction concerned.

Nexum Labs shall not be liable, to the extent permitted by applicable law, for:

• customs delays;
• import refusals;
• administrative seizures;
• losses attributable to the carrier.

The Buyer is responsible for verifying the legal compliance of the Products in their jurisdiction.

Returns may be accepted only when the Product is unopened, its original packaging is intact, and the request is made within the applicable period stated in the Returns and Refunds Policy, which forms an integral part of these Terms.

Return shipping costs may be borne by the Buyer, subject to applicable mandatory provisions. No refund will be granted for a Product that has been opened, altered, or handled, except where mandatory law provides otherwise.

To the fullest extent permitted by applicable law, Nexum Labs’ total liability is limited to the amount paid for the Product concerned.

IN NO EVENT SHALL NEXUM LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

Nexum Labs shall not be liable, to the extent permitted by applicable law, for financial losses, loss of business, indirect damages, consequences of misuse, or use that does not comply with the accepted terms.

Liability concerning Topical Cosmetic Products is also limited to the amount paid for the Product concerned, except where mandatory provisions provide otherwise.

The Products are provided “as is” and “as available,” to the extent permitted by applicable law.

NEXUM LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

Nexum Labs does not warrant the regulatory compliance of the Products in each specific jurisdiction of the Buyer.

To the extent permitted by applicable law, the Buyer agrees to indemnify and hold Nexum Labs harmless from any claim resulting from misuse, non-compliant use, violation of applicable laws, or unauthorized resale.

The Buyer is responsible for verifying the legality of the Products in their jurisdiction, obtaining any required authorization, and complying with applicable laws and regulations.

Nexum Labs shall not be liable in the event of circumstances reasonably beyond its control, including, in particular:

• natural disaster;
• conflict;
• administrative decision;
• logistics disruption;
• regulatory change;
• major disruption involving a service provider.

These Terms are governed by the laws of the State of New Mexico, United States, subject to any mandatory provisions that may apply to the Buyer in their jurisdiction.

Any dispute may be submitted to binding arbitration in the State of New Mexico where that procedure is legally valid and enforceable against the Buyer concerned.

The parties may agree to resolve an eligible dispute through binding arbitration, subject to applicable mandatory law.

Any waiver of a class action applies only to the extent that it is authorized and enforceable under applicable law.

If any clause is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in effect to the fullest extent possible.

Nexum Labs reserves the right to amend these Terms. Amendments take effect upon publication for future orders, subject to applicable legal provisions.

Each version is identified by a number and date, which are retained with the Buyer’s proof of acceptance.
